Disclaimer & Waiver of Responsibility

Please read these terms carefully before using our services.

Introduction & Acceptance of Terms

The Healthcare Conflict or HCC provides compliance program development, advisory support, healthcare litigation consulting, training and education, patient advocacy, and legal referral services. This general-purpose disclaimer and waiver of responsibility applies to all interactions with HCC - including use of our website, participation in consultations or training, communications, intake forms, and any services we offer.

By engaging with HCC's services, you acknowledge and agree to the following:

1. No Legal Representation or Attorney-Client Relationship

HCC is not a law firm and does not provide legal representation or legal advice to clients. Engaging with HCC or accessing our services does not establish an attorney-client relationship. Any legal services that you may require (such as formal legal advice, court representation, or drafting of legal documents) will be referred to qualified external attorneys or law firms. Communications with HCC, while kept confidential to the extent possible, are not protected by attorney-client privilege, since HCC does not act as legal counsel. You should consult a licensed attorney for legal advice specific to your situation.

2. No Guarantee or Warranties of Outcomes

HCC makes no guarantees, promises, or warranties regarding the outcome of any consultation, advice, referral, or support provided. All information, recommendations, and guidance offered by HCC are provided in good faith for general informational and educational purposes but should not be construed as an assurance of any particular result. In particular, no guarantee is made that compliance measures, strategies discussed, or referrals to legal services will lead to any specific outcome in any legal proceeding, regulatory matter, or business endeavor. All services are provided "as is," and HCC disclaims any implied warranties to the fullest extent permitted by law.

3. Client Responsibility for Decisions

You, as the client or service user, remain fully responsible for any and all decisions or actions you take based on the guidance, information, or referrals provided by HCC. Any reliance on our services is at your own discretion and risk. We strongly encourage you to evaluate our advice in light of your own circumstances and, when appropriate, seek independent professional counsel or advice (for example, from a qualified attorney, healthcare professional, or financial advisor) before making important decisions. You acknowledge that any actions you undertake, including those in legal, professional, or healthcare matters, are your own choice and responsibility.

4. Limitation of Liability

To the fullest extent permitted by law, HCC and its directors, officers, employees, volunteers, agents, and affiliates shall not be liable for any loss or damage of any kind arising from or relating to your use of HCC’s services, reliance on any information provided, or any actions you take (or fail to take) based on our guidance or referrals. This limitation of liability applies to all forms of loss or harm, whether direct or indirect, incidental or consequential, foreseeable. Examples include, but are not limited to: professional or regulatory consequences (such as licensing issues or penalties), legal outcomes (such as adverse judgements or sanctions), financial losses (including business losses or missed opportunities), or any other tangible or intangible harm. By using HCC’s services, you agree that HCC will not be responsible or liable for any such outcomes or damages, even if you informed us of the possibility of these losses.

5. Waiver of Claims and Indemnification

By engaging with HCC, you expressly waive and release any and all legal claims against Healthcare Conflict and its officers, employees, volunteers, and agents for any injury, loss, or damage you may incur in connection with our services. In other words, you agree that you will not hold HCC liable for any outcomes resulting from the advice, information, or referrals we provide. Furthermore, you agree to indemnify and hold harmless HCC and its officers, employees, volunteers, and agents from and against any and all claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising out of or related to your use of HCC's services or any decisions and actions you take based on our guidance or referrals. This indemnification obligation means that if any third-party claim or dispute arises due to your actions (or omissions) after using our services, you will defend and protect HCC from any resulting losses or costs. You acknowledge that HCC's services are offered with the understanding that all final decisions remain with you as the client, and HCC shall not be held responsible for the consequences of those decisions.
